By accessing or using PMCollab ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

These Terms apply to all users of the Service, including visitors, registered users, and administrators.

PMCollab is a real-time collaborative prioritization platform that enables teams to brainstorm, group ideas, and prioritize using techniques such as Rose-Thorn-Bud methodology, dot voting, and bullseye prioritization.

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice.

To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

We reserve the right to disable any user account if, in our opinion, you have violated any provision of these Terms.

PMCollab offers several subscription plans, including a free Explorer plan, a paid Pro plan, and an Enterprise plan. Details of each plan, including pricing and features, are available on our pricing page.

By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis at the rates in effect at the time of purchase. All fees are non-refundable except as expressly stated in these Terms.

We reserve the right to change our pricing at any time. We will provide reasonable notice of any price changes before they take effect.

If your payment fails, we will notify you and provide a grace period to update your payment method. Continued non-payment may result in suspension or termination of your account.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service to:

• Upload or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.

• Attempt to gain unauthorized access to any portion of the Service or any other systems or networks connected to the Service.

• Interfere with or disrupt the integrity or performance of the Service.

• Collect or harvest any personally identifiable information from the Service without permission.

• Use the Service for any commercial purpose not expressly permitted by these Terms.

The Service and its original content, features, and functionality are and will remain the exclusive property of PMCollab and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of PMCollab.

You retain ownership of any content you submit, post, or display on or through the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute your User Content in connection with operating and improving the Service.

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices.

We implement reasonable security measures to protect your data, but we cannot guarantee absolute security. You are responsible for maintaining the confidentiality of your account credentials.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. YOU USE THE SERVICE AT YOUR OWN RISK.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PMCOLLAB SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

You agree to indemnify, defend, and hold harmless PMCollab and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your use of the Service or violation of these Terms.

We may terminate or suspend your account and access to the Service at any time, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

These Terms are governed by and construed in accordance with the laws of the State of Colorado, United States, without regard to conflict of law provisions.

You agree that any dispute or claim arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in El Paso County, Colorado, and you consent to the personal jurisdiction of those courts.

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by updating the "Last Updated" date at the top of this page and, where appropriate, notifying you by email.

Your continued use of the Service after any changes to these Terms constitutes your acceptance of the new Terms.
